Who we are

Mergers & acquisitions, on every side of the table.

SMA Holdings Group is a Delaware-based M&A firm founded by three partners. We do two things, and they reinforce each other: we advise owners and buyers through the deals that matter most, and we acquire businesses with our own capital.

That dual role — advisor and principal — sharpens everything. When we assess what your business is worth, or where its value is hiding, we're telling you what a real buyer sees, because we are one.

Whether you want to sell, to buy, or to grow, we start with your goal and the numbers — then recommend the strategy that actually fits.

Advisor & principal

We advise on deals — and close them with our own capital too.

Both sides

We've sat in the buyer's seat and the seller's. We know both.

Flexible strategy

Acquire & sell, improve & hold, or hold for the long term.

Straight talk

An honest read on value and exactly what it will take.

What we do

One firm, both sides of the deal

We advise owners and buyers through their most important transactions — and we acquire businesses with our own capital. Two perspectives, working together.

Advisory

For owners and buyers

SELL-SIDE

Exit & sell-readiness

We assess your business the way a buyer will, fix what quietly lowers its value, and get it ready to command its best price — then guide you through the sale.

BUY-SIDE

Acquisition support

When you're the one buying, we source and screen targets, run diligence and valuation, and help you structure and close the right deal.

Principal

How SMA invests its own capital

01

Acquire & sell

We identify mispriced or under-managed businesses, acquire them, sharpen the operation, and sell at a gain.

02

Acquire, improve & hold

We buy sound businesses, invest in operations and growth, and hold to compound their value over the medium term.

03

Acquire & hold long-term

For the right business, we become its permanent home — keeping the team and legacy intact for the long run.

What we look for

The businesses we pursue

Whether we're acquiring it ourselves or helping a client buy, this is the profile we look for. If it sounds like your company, we'd genuinely like to talk.

  • Profitable & established

A track record of consistent earnings, not a turnaround or a startup.

  • An owner planning a transition

Retirement, a new chapter, or simply ready to hand over the reins.

  • Stable, loyal customers

Recurring or repeat revenue and durable customer relationships.

  • A team that wants to stay

People and managers who are proud of the business and its future.

Our acquisition focus

We review opportunities — our own and our clients' — across these guardrails. Don't fit perfectly? Reach out anyway; we'd rather hear from you.

Size & sector

Revenue range, earnings (SDE / EBITDA) and target industries — [to confirm with the SMA partners].

Geography

U.S.-based businesses, headquartered in Wilmington, North Carolina.

Every conversation is confidential and obligation-free.

Our approach

A simple, disciplined process

Four steps — whether you're selling, buying, or growing — and you set the pace at every one.

1

Conversation

A confidential first call about your goal — selling, acquiring, or growing.

2

Assessment

We evaluate the business, the market and the numbers, and where the value really sits.

3

Strategy

We recommend the right path: prepare to sell, acquire, improve and hold, or hold long-term.

4

Execution

We run the process end to end — and stay in it through the close and beyond.

Why owners choose us

What makes SMA different

Advisor and principal.

We don't just advise on deals — we make them with our own capital. Our recommendations carry the conviction of an active buyer and seller.

Every side of the table.

Selling, buying, or growing — we've sat in each seat, so we know what the other side is thinking before they say it.

Strategy before transaction.

We start with your goal and the numbers, not a pre-set product. The right move might be to sell, acquire, improve, or hold.

Straight talk, real conviction.

A fair, honest assessment of what a business is worth — and exactly what it will take to get there.

The partners

Three partners, one long-term commitment

SMA is owned equally by its three founding partners — the same people you'll work with from first call to close.

Questions, answered

What owners and buyers ask us

Do you only buy businesses, or do you also advise?

Both — and they reinforce each other. We advise owners and buyers through their transactions, and we also acquire businesses with our own capital. Because we sit on the principal side of real deals, our advice reflects what an actual buyer or seller is thinking.

Is my information kept confidential?

Always. Every conversation is confidential and obligation-free, and we're glad to sign an NDA before you share anything sensitive about your business.

Do I have to be ready to sell to talk to you?

No. Many owners reach out a year or more ahead — just to understand their options and learn what would make the business more valuable when the time comes. There's no commitment in a first conversation.

What happens to my team and customers if you acquire my business?

It depends on the strategy and your goals — but for the businesses we hold, keeping the team, relationships, and reputation intact is the entire point. We'll be direct about our intentions before anything is agreed.

What does a first conversation cost?

The initial conversation is free and obligation-free. If we move into a formal advisory engagement, we'll lay out the terms clearly and in writing before any work begins.

How long does a typical process take?

It varies with the business and your objectives. We move at a pace that works for you and aim to be clear about timing at every step rather than rush a deal that isn't right.

Let's talk

Buying, selling, or exploring your options?

Every conversation is confidential and there's no obligation. Tell us what you're weighing — a sale, an acquisition, or a path to grow — and one of the partners will personally be in touch.
